Terms of Service
Effective date: January 26, 2026
Last updated: September 20, 2026
These Terms of Service (“Terms”) govern your access to and use of the website operated by Sprocket Web Werks, LLC (“Sprocket,” “we,” “us,” or “our”) at sprocket.co.
By accessing or using this website, you agree to these Terms. If you do not agree, please do not use the website.
1. About This Website
Sprocket Web Werks, LLC provides website design, development, digital marketing, search optimization, advertising, analytics, consulting, and related professional services.
This website provides general information about Sprocket and allows visitors to contact us regarding potential services. Accessing the website or submitting a contact form does not create a client, agency, partnership, employment, fiduciary, or other professional relationship.
A professional relationship is created only when Sprocket and a client enter into a separate written proposal, agreement, statement of work, or other engagement document.
2. Eligibility
You must be at least 18 years old or have the legal authority to act on behalf of a business or organization to use this website or submit a business inquiry.
By using the website on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
3. Contact Forms and Communications
Our website includes forms that allow members of the public to contact Sprocket. When you submit a form, you may provide information such as your name, email address, telephone number, company, website address, and details about your project or request.
By submitting a form, you authorize Sprocket to use the information provided to:
- Respond to your inquiry
- Communicate with you about requested services
- Prepare a proposal or estimate
- Follow up regarding your request
- Maintain reasonable business records
Submitting a form does not guarantee a response, acceptance of a project, availability, pricing, or any particular result.
You are responsible for ensuring that the information you submit is accurate and that you have the right to provide it. You should not submit passwords, financial account details, medical information, or other sensitive personal information through our website.
4. Gmail API and Email Delivery
Sprocket uses the Gmail API as part of its website email-delivery system. The Gmail API allows our Gravity Forms SMTP configuration to authenticate with and send website-generated email through a Google account controlled by Sprocket.
This integration is used to deliver contact-form notifications, administrative messages, and related website communications.
Website visitors:
- Are not required to create an account
- Are not asked to sign in with Google
- Do not authorize access to their Google accounts
- Do not provide Sprocket with access to their Gmail messages, contacts, files, or other Google account information
The Google authorization applies only to the account used by Sprocket to send and manage website-generated email. Sprocket does not use Gmail API data for advertising, profiling, data brokerage, or unrelated purposes.
Our use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including its Limited Use requirements.
An authorized Sprocket administrator may disconnect or revoke the website’s Google authorization at any time. Questions or data-related requests may be submitted to mark@sprocket.co.
5. Permitted Use
You may use this website for lawful informational and business purposes. You agree not to:
- Use the website for any unlawful, fraudulent, abusive, or deceptive purpose
- Submit false, misleading, threatening, defamatory, or infringing content
- Attempt to gain unauthorized access to the website, server, email systems, or connected services
- Introduce malware, malicious code, or other harmful technology
- Interfere with the website’s availability, security, or operation
- Use automated systems to scrape, copy, overload, or disrupt the website
- Impersonate another person or misrepresent your affiliation with a business or organization
- Use the contact forms to send spam, solicitations, or unlawful communications
- Test or probe the website for vulnerabilities without written authorization
We may restrict or block access when we reasonably believe a user has violated these Terms or created a security or operational risk.
6. Professional Services and Fees
Browsing the website and submitting an inquiry are free.
Any paid design, development, marketing, consulting, advertising, hosting, maintenance, or related services will be governed by a separate written proposal, contract, estimate, statement of work, or service agreement. That document may contain additional terms concerning scope, fees, payment schedules, intellectual property, cancellations, warranties, responsibilities, and deliverables.
If a separate written agreement conflicts with these Terms regarding paid professional services, the separate agreement will control.
7. Intellectual Property
Unless otherwise stated, the website and its original content—including text, graphics, branding, layouts, designs, code, and other materials—are owned by or licensed to Sprocket Web Werks, LLC and are protected by applicable intellectual-property laws.
You may view and print reasonable portions of the website for personal or internal business reference. You may not reproduce, republish, distribute, modify, sell, license, or commercially exploit website content without our prior written permission.
Names, logos, photographs, trademarks, and materials belonging to clients, vendors, or other third parties remain the property of their respective owners.
8. Portfolio and Client References
Our website may display examples of previous work, client names, logos, screenshots, project descriptions, or results. These materials are provided to illustrate our capabilities and experience.
Past performance does not guarantee similar results for another client. Marketing, search, advertising, and business results depend on many factors outside Sprocket’s control.
9. Third-Party Services and Links
The website may use or link to third-party platforms, including Google, Meta, analytics providers, advertising services, hosting providers, WordPress services, and other technology vendors.
Third-party services are governed by their own terms and privacy policies. Sprocket does not control and is not responsible for the availability, security, accuracy, content, or practices of third-party websites or services.
A link or integration does not necessarily constitute an endorsement.
10. Privacy
Our collection and use of personal information are described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.
By using the website, you acknowledge that internet transmissions and electronic communications cannot be guaranteed to be completely secure.
11. Website Availability and Changes
We may modify, suspend, restrict, or discontinue any part of the website at any time. We do not guarantee that the website will always be available, uninterrupted, accurate, secure, or free from errors.
We may correct errors and update website content without notice.
12. Informational Content
Website content is provided for general informational purposes. It is not legal, financial, tax, medical, or other regulated professional advice.
Although we make reasonable efforts to provide useful and accurate information, we do not guarantee that every statement is complete, current, or suitable for your particular circumstances.
13. Disclaimer of Warranties
To the fullest extent permitted by law, the website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory.
Sprocket disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, availability, and accuracy.
Nothing in this section excludes a warranty that cannot legally be excluded.
14. Limitation of Liability
To the fullest extent permitted by law, Sprocket Web Werks, LLC and its owners, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, this website.
Sprocket will not be responsible for losses resulting from website interruptions, errors, unauthorized access, malware, third-party services, reliance on website content, or information submitted through the website.
Where liability cannot legally be excluded, Sprocket’s liability arising solely from use of this public website will be limited to the greater of the amount you paid specifically to access the website or $100.
This limitation does not replace or modify the liability terms contained in a separate client-services agreement.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Sprocket Web Werks, LLC and its owners, employees, contractors, and representatives from claims, damages, obligations, losses, and expenses arising from your unlawful use of the website, your violation of these Terms, or content you submit through the website.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
Any legal proceeding arising solely from these Terms or use of the public website must be brought in a court of competent jurisdiction located in Hamilton County, Tennessee, unless applicable law requires otherwise.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.
18. No Waiver
Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
19. Changes to These Terms
We may update these Terms when our website, services, technology, or legal obligations change. Revised Terms will be posted on this page with an updated effective date.
Your continued use of the website after an update constitutes acceptance of the revised Terms.
